Take a moment to familiarize yourself with this User Agreement (from now on, referred to as the "Agreement"). Agreement shall mean an agreement between you, "User", and MagicRec ("MagicRec.com", "us" or "we"). It is important that you read the Agreement to know what benefits we provide and our limitations.

1. AGREEMENT ACCEPTANCE

BY USING THIS SITE OR USING LINKS OR COMPLETING THE REGISTRATION PROCESS, YOU CONFIRM THAT YOU AGREE TO THIS AGREEMENT. WE MAY CHANGE THIS AGREEMENT FROM TIME TO TIME AND POST THOSE CHANGES HERE. EACH TIME YOU USE THE SITE, THE CURRENT VERSION OF THE AGREEMENT WILL APPLY. ACCORDINGLY, WHEN USING THE SITE, YOU SHOULD CHECK THE DATE OF THIS AGREEMENT (WHICH IS DISPLAYED AT THE TOP) AND REVIEW ANY CHANGES, THE LATEST VERSION. YOUR CONTINUED USE OF THE SITE FOLLOWING ANY SUCH CHANGES SHALL PROVIDE YOUR CONSENT TO ACCEPT THE AMENDED AGREEMENT.

2. ABOUT OUR SERVICES

• MagicRec services. We are currently giving you access to the MagicRec.com website. It includes such services as "Text to Speech", "Create Dictionary". The Text-to-Speech service shall be provided free of charge with restrictions, the advanced features of this service require payment. The Create Dictionary service shall be provided on a paid basis.

  The free service stores the generated audio and pdf files for 30 minutes, after which the download link will not be available. The generated audio files and pdf files are available on a paid basis for 2 months, after which download links will not be available.

• Service restrictions. We will do our best to make your visit to MagicRec enjoyable and hassle-free. However, we cannot always anticipate the technical difficulties that may arise. These difficulties can lead to data loss, personalized settings, or other disruptions to service. For this reason, you agree that the Service, including but not limited to any Third Party Services (as defined in Section 12 below), shall be provided "AS IS." MagicRec and any of our third party partners cannot assume any responsibility or liability for the timeliness, deletion or inability to save any user data, messages or personalized settings.
• Service Changes and Discontinuation. MagicRec shall reserve the right to change or discontinue, temporarily or permanently, the free services at any time without prior notice. You agree that MagicRec will not be liable to you or any third party for the Service any changes or termination.

3. RULES GOVERNING THE USE OF THIS SITE AND THE SERVICES (TERMS OF USE)

In the interests of our users and in accordance with applicable law, we have some binding rules that all members shall be obliged to follow. We can change these rules, "Terms of Use". Any behavior that violates the Terms of Use will be grounds for your account immediate termination. With this in mind, we ask that you carefully read and abide by these reasonable rules.

• Comply with legislation. You represent and warrant that your use of this MagicRec Site and its text-to-speech services will not violate any applicable laws or this Agreement, and you will not use this Site and Services for any illegal purpose.
• Provide accurate information about yourself. You represent and warrant that you: (1) provide true, accurate, current and complete information about yourself as requested in the MagicRec.com registration form and (2) update your contact information if it changes. By providing accurate information, you enable us to create better content and the ability to enable us to create new services and offerings that best suit your needs.
• Protecting your registration information. Upon completion of registration, you will have a login-email and a password. You shall be responsible for maintaining of such username and password confidentiality. You shall be responsible for all activities, including all activities that may violate our user agreement, which are performed using your username and password. We also recommend that you use the same password for multiple websites. You will continue to be responsible for any activity that occurs with your account while using these services. If there is any security breach and you find that you have had unauthorized activity with your account, please report it to MagicRec staff immediately by clicking on the link «notify» and by submitting a report through our online form.
• Content restrictions. Please read our Privacy Policy available at www.magicrec.com/privacy/, to understand what measures you use to protect your privacy. You shall be solely responsible for the content and any damage resulting from any of your actions using our services on MagicRec.com. By creating audio files and pdf files or posting, you represent and warrant that:
  • 1) You own or have sufficient rights to the content - text to convert text to speech;
  • 2) Will not publish files obtained through this service that violate our or any other privacy rights, publicity rights, intellectual property rights (including but not limited to copyrights) or contractual rights;
  • 3) Ensure that you have fully complied with all third-party licenses related to the owners of the text content, agree to pay all royalties, fees and any other monies due to any person in connection with the use of intellectual property that you have posted on other resources using text-to-speech;

  The publication, sale or distribution in any form or on any medium of text, audio of any other form of proprietary content, using the MagicRec.com site services, shall be strictly prohibited without the MagicRec.com prior written permission.

4. YOUR LICENSE TO PARTICIPATE WITH US

MagicRec.com shall not claim ownership of materials (audio and pdf files) that you create using our services independently and make available on the Internet.

5. OUR INTELLECTUAL PROPERTY RIGHTS

All content on this Site and the Services, trademarks, service marks and logos contained on this Site shall be owned by or licensed to us and be subject to copyright and other intellectual property rights in accordance with the laws of the United States and other countries and international conventions. We reserve all rights not expressly granted in relation to this Site, Service and Materials. You agree that you will not bypass, disable or otherwise interfere with the operation of this Site, violating the security or operation of services or functions that prevent or restrict the use or copying of any materials or impose restrictions on the use of this Site or the Service or Materials on this Site. You also agree not to access this Site or Service by any means other than through an interface that we provide, unless otherwise specifically permitted by us in a separate written agreement.

6. MANAGING OUR SITE

We can, but do not have to:

• monitor or check this Site for violations of this Agreement and compliance with our policies;
• report to law enforcement authorities and / or take legal action against anyone who violates this Agreement;
• refuse, restrict access or availability, remove or disable (to the extent technologically possible) any Contribution or any part of it that may violate this Agreement, the law or any of our policies or are excessive in size or onerous without notice ; and / or
• manage this Site and Service in such a way as to protect our rights and property and the rights of third parties or to facilitate the proper functioning of this Site and Service.

Our right to terminate the work of users. WITHOUT LIMITING ANY OTHER PROVISION OF THIS AGREEMENT, WE SHALL RESERVE THE RIGHT, IN OUR SOLE DISCRETION, WITHOUT NOTICE OR RESPONSIBILITY, TO DENY ACCESS AND USE OF THIS SITE AND SERVICES TO ANY PERSON FOR ANY REASON OR NO REASON, INCLUDING WITHOUT LIMITATION. FOR VIOLATION OF ANY REPRESENTATIONS, WARRANTIES OR OBLIGATIONS CONTAINED IN THIS AGREEMENT OR ANY APPLICABLE LAW OR REGULATION.

7. DISCLAIMER OF WARRANTY

YOU EXPLICITLY UNDERSTAND AND AGREE THAT:

• YOUR USE OF THE SERVICE AND THE SITE SHALL BE AT YOUR OWN RISK. THE SERVICES AND THE SITE SHALL BE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS
• MAGICREC.COM SHALL MAKES NO GUARANTEES THAT (1) THIS SITE OR SERVICE WILL MEET YOUR REQUIREMENTS, (2) THIS SITE OR SERVICE WILL BE CONTINUOUS, TIMELY, SECURE OR ERROR-FREE, (3) THE RESULTS OBTAINED FROM USING THIS SITE OR SERVICE WILL BE ACCURATE OR RELIABLE, (4) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL PURCHASED OR RECEIVED BY YOU FROM THIS SITE OR SERVICE WILL MEET YOUR EXPECTATIONS, (5) ANY ERRORS IN ANY SOFTWARE PROVIDED WITH THIS SITE OR SERVICE WILL BE CORRECTED, (6) OR ON THIS SITE, ITS CONTENT AND THE SERVERS, ON WHICH THIS SITE AND CONTENT SHALL BE AVAILABLE, WITHOUT VIRUSES OR OTHER HARMFUL COMPONENTS.
• ANY MATERIAL DOWNLOADED OR OTHERWISE, OBTAINED WHILE USING THIS SITE OR SERVICE, SHALL BE AT YOUR SOLE DISCRETION AND RISK, AND YOU SHALLBE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA.
• NO ADVICE, INFORMATION OR INSTRUCTIONS, ORAL OR WRITTEN, RECEIVED BY YOU ON MAGICREC.COM OR THROUGH THIS SITE OR SERVICE, DOES NOT CREATE ANY GUARANTEES NOT EXPRESSLY SPECIFIED IN THE AGREEMENT. IF YOU CANNOT AGREE WITH THIS RULE, THEN YOU CANNOT USE THIS SITE OR SERVICE.

8. DISCLAIMER OF LIABILITY

YOU CLEARLY UNDERSTAND AND AGREE THAT MAGICREC.COM SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR APPROXIMATE DAMAGES ARISING FROM YOU OR YOUR USE OF THE SERVICE IN SOME JURISDICTIONS. SOME JURISDICTIONS SHALL NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDING TO SOME OF THE ABOVE RESTRICTIONS IN THE SECTIONS LISTED ABOVE MAY NOT APPLY TO YOU.

9. COMPENSATION

You agree to indemnify us, affiliates, licensors and their respective officers, agents, partners and employees from any loss, liability, claim or demand, including reasonable attorney fees, incurred by any third party due to or arising from your use of the services of this Site and the Services in violation of this Agreement and / or as a result of this Agreement violation and / or any violation of your representations and warranties set forth therein.

10. PRESS, MAGAZINE AND MEDIA GUIDE

If you have a magazine, newspaper or online information system and you want to publish something about MagicRec, its materials or provide links, please follow these rules:

• Always refer to MagicRec.
• Please contact us in writing before writing an article.
• If the article is published in paper form, please send us at least one copy for our records to the address below.
• Post your article on this Site via the Feedback Form.

These rules shall not be strict, but the preferred ones.
